VEYER guarantees 97% on-time performance for final mile small parcel delivery service performed by its private fleet (“Eligible Service”). On-time performance measured semi-annually over trailing six-month period by VEYER. A delivery is considered on-time if VEYER made at least one delivery attempt on or before the promise date. Excludes deliveries delayed by force majeure. Volume restrictions may apply. Guarantee applies to new VEYER customers commencing Eligible Service after 3/1/2024. If on-time performance is below the guaranteed level over any measurement period, VEYER’s sole obligation under this guarantee shall be to provide an invoice credit to customer in an amount equal to 1% of customer’s charges for Eligible Services over the measurement period for each 0.3% such performance fell below the guaranteed level, up to a maximum 5% credit. VEYER may modify or withdraw this guarantee at any time upon 30 days’ notice to customer.
